Billing, Refund & Cancellation Policy

The short version

You pay in advance and the subscription renews automatically until you cancel. Cancelling does not switch your server off immediately — it stays online through the end of the period you already paid for. Your data is then held for 30 days before the server is reclaimed and destroyed.

If a payment fails, you get 14 days to fix it before the account is suspended, and a further 30 days after that before the server is destroyed. We email you before each step.

We do not refund partial periods as a rule. We do refund duplicate charges, our own billing errors, and cases where we could not deliver a working server. Deleting your account is a separate, immediate, irreversible action.

1. Scope

This policy is part of the TermRoam Terms of Service and applies to every paid TermRoam subscription sold by Black Sky Ventures LLC, trading as TermRoam. Where this policy and the Terms of Service differ on a billing question, this policy governs.

2. Plans, prices, and currency

Current plans and prices are listed on the pricing section of this site and are shown again at checkout. The price displayed at checkout, before you confirm payment, is the price that governs.

All prices are in US dollars. Each plan includes one dedicated server with the hardware specification listed for that plan.

During the alpha, access is by invitation and pricing is described on the site as alpha cohort pricing. If you were told your price is locked for as long as you stay subscribed, that commitment is honoured; it ends if you cancel and later resubscribe.

3. How billing works

  • Subscriptions are billed in advance for the billing period shown at checkout, and renew automatically at the end of each period until cancelled.
  • Payment is processed by Stripe. We never receive or store your full card number.
  • Your first charge is taken at checkout. Your server is provisioned after that charge succeeds.
  • Receipts and invoices are available in the billing portal, reachable from your account. Stripe also emails receipts.
  • You can update your card, view invoices, and cancel from that same billing portal.

4. Taxes

Prices are exclusive of tax unless stated otherwise at checkout. Where we are required to collect sales tax, VAT, or GST, it is calculated and shown at checkout and added to your invoice. You are responsible for any other taxes arising from your use of the service.

5. Price changes

We may change prices. If a change affects your existing subscription, we will email you at least 30 days before it takes effect, and it will apply from your next renewal — never mid-period, and never retroactively. If you do not want to pay the new price, cancel before the renewal date and you will not be charged it.

6. Cancelling your subscription

Cancel at any time from the billing portal in your account. You do not need to email us, and there is no retention call.

Cancellation is a wind-down, not a shutdown. Here is exactly what happens:

Reclaim is permanent. When the server is reclaimed, the virtual machine is deleted at the cloud provider and everything on its disk goes with it — your code, files, terminal history, and agent sessions. We cannot restore it. Nobody can. Unless you bought a backup add-on, no copy exists anywhere.

The 30-day reclaim window is the same window used after a suspension for non-payment. If we ever change it, both the portal and this page change with it, and the figure shown in your cancellation email is the one that applies to you.

7. Deleting your account (immediate and irreversible)

Deleting your account is a different action from cancelling, and it is far more destructive. It requires typing a confirmation phrase, and when you confirm it:

  • your subscription is cancelled at once;
  • your servers are destroyed immediately — there is no 30-day window and no wind-down period;
  • your account and user records are anonymised;
  • billing, tax, and audit records are retained as described in the Privacy Policy.
Do not use account deletion as a way to cancel. If you want to stop paying but keep your work, use cancellation (section 6) instead — it gives you the rest of your paid period plus 30 days. Account deletion gives you neither, and no refund is due for the remainder of the period.

8. Failed payments: the full timetable

If a renewal payment fails — expired card, insufficient funds, a bank decline — nothing is deleted straight away. This is the sequence, and we email you at each step:

Reclaimed Permanent We send a final warning, then the server is destroyed and all data on it is permanently deleted. The account is deprovisioned. There is no revival path — coming back means signing up again from scratch.

That is 44 days in total from the first failed payment to destruction. The two windows are configured as 14 days past due and 30 days suspended; if we ever change them, this page is updated in the same release as the portal and the emails, and the figures in the emails you received are the ones that apply to you.

Paying an outstanding invoice at any point before reclaim restores the account. After reclaim, nothing can be restored.

9. Export your data before any deadline

Whichever path you are on — cancellation, suspension, or account deletion — get your data off the server before the deadline in your email. We cannot recover it afterwards.

You have full terminal access to your server through the TermRoam cockpit for as long as it is running. Use it to push to a git remote, or to rsync or scp files to a machine you control. There is no one-click export button today.

If your account is suspended and you need access purely to retrieve your data, email support@termroam.com before the reclaim date and we will work with you.

10. Refunds

Our general position

Subscription fees are charged in advance and are not refundable for partial periods. When you cancel you keep the service you paid for until the end of that period, which is what the fee bought. We do not pro-rate mid-period cancellations.

Where we do refund

We will refund you, without argument, in these cases:

  • Duplicate or accidental charge — you were billed twice for the same period.
  • Our billing error — you were charged the wrong amount, charged after a valid cancellation, or charged for a plan you did not select.
  • We could not deliver — we charged you but could not provision a working server, and could not fix it within a reasonable time. Full refund of that charge.
  • We terminate for convenience — if we end your service for our own reasons rather than for a breach, we refund the unused portion of the period you prepaid.
  • Extended failure — if your server is unavailable for a prolonged period because of a fault on our side, contact us and we will issue a credit or refund proportionate to the outage.

Where we do not refund

  • Changing your mind partway through a paid period.
  • Not using the service during a period you paid for.
  • Suspension or termination for a breach of the acceptable use section of the Terms of Service.
  • Loss or damage caused by an AI agent you ran, or by AI-generated output.
  • Spend on your own Anthropic, OpenAI, or Claude account. We never receive that money and cannot refund it — take it up with the provider directly.
  • Deleting your own account, which destroys the servers immediately by design.

Statutory rights

If you are a consumer in a jurisdiction that gives you a statutory cancellation, withdrawal, or refund right, that right applies and nothing in this policy limits it. Tell us at support@termroam.com and we will honour it.

How to ask

Email support@termroam.com from your account address with the invoice number. We aim to respond within 3 business days. Approved refunds are returned to the original payment method through Stripe and typically appear within 5–10 business days depending on your bank.

11. Changing plans

Contact support@termroam.com to move between plans. Because each plan is backed by different physical hardware, a plan change may require moving your work to a newly provisioned server — we will tell you what is involved before anything changes, and no data is destroyed without your agreement. Any billing difference is handled through Stripe as a proration on your next invoice.

12. Chargebacks and disputes

If something looks wrong on your invoice, please email us first — billing mistakes are usually fixed within a few days, and we would rather correct them than argue about them.

Filing a chargeback without contacting us causes the account to be suspended automatically while the dispute is open, which starts the clock in section 8. We will provide the payment processor with our records of the account, the subscription, and the service delivered.

13. What is not included in your subscription

  • AI model usage. You connect your own Claude account and your own Anthropic or OpenAI API key, and you pay those providers directly. TermRoam does not meter, resell, or mark up model usage, and none of your subscription fee goes to them.
  • Backups. Backups are not included by default. Unless a backup add-on appears as a paid line item on your invoice, no backups of your server exist.
  • Uptime guarantee. We do not offer a service level agreement or uptime commitment.
  • Third-party services you choose to run on your own server, and their costs.
