Terms of Service
The short version
We rent you a dedicated Linux server on our cloud account, run the TermRoam software on it, and give you administrative control of it. What you do on that server — including everything an AI agent does on your behalf — is yours to own.
You bring your own AI accounts and API keys, so you pay Anthropic and OpenAI directly and their terms apply to you. Agent output is not reviewed by us and can be wrong. We do not back up your server unless you have bought a backup add-on. If you stop paying, or you cancel, your server is eventually destroyed on a published timetable — see the Billing, Refund & Cancellation Policy.
This summary is for orientation only. The numbered sections below are the actual agreement.
1. Who we are, and what these terms cover
These Terms of Service (the "Terms") are a binding agreement between Black Sky Ventures LLC, a limited liability company organised in the United States, trading as TermRoam ("TermRoam", "we", "us", "our"), and the individual or entity that creates a TermRoam account ("you", "your").
You accept these Terms when you create an account, subscribe to a paid plan, or otherwise use the service. If you are accepting on behalf of a company or other organisation, you represent that you are authorised to bind it, and "you" means that organisation.
These Terms incorporate the Billing, Refund & Cancellation Policy and the Privacy Policy. If you do not agree with all of them, do not use the service.
2. The service
TermRoam consists of two parts:
- The control plane — a hosted web portal we operate, used for sign-in, subscription and billing management, server provisioning, and inviting teammates.
- Your server — a dedicated virtual private server ("your server") that we provision for you on our cloud provider account, running the TermRoam software, which you reach through the TermRoam cockpit and control administratively.
Servers are provisioned in the United States, on Vultr. The default region is Newark, New Jersey. We do not offer a region choice at signup today. If the location of your data matters to you legally or contractually, do not subscribe until you have confirmed with us that we can meet your requirement.
We are the provider of the TermRoam software and of the server. We are not the provider of the AI models you use through it — see section 5.
3. Your account
You must be at least 18 years old and legally able to enter into a contract. You must provide accurate account information and keep it current.
You sign in with an emailed sign-in link or with Google sign-in. You are responsible for keeping access to that email account and for all activity that occurs under your account, whether or not you authorised it. Tell us promptly at security@termroam.com if you believe your account has been compromised.
An account owner may invite teammates. The account owner is responsible for the actions of everyone they invite, and for removing access when it is no longer appropriate.
4. Your server, and your responsibility for it
You get administrative control of your server. That is the product. It also means the following, which you should read carefully before you subscribe:
- Everything that runs on your server is your responsibility, including software you or an agent installs, code you or an agent writes and executes, network requests it makes, and data it changes or deletes.
- You are responsible for the actions of any autonomous AI agent you run, to exactly the same extent as your own actions. "The agent did it" is not a defence, to us or to a third party.
- Agents running on your server can install software, execute arbitrary commands, make outbound network requests, and modify or permanently delete your own files and data. Some agent modes run with confirmation prompts disabled. If you enable those modes, you accept the consequences.
- You are responsible for any credentials, API keys, tokens, or secrets you place on your server, and for the consequences if an agent or a third party uses them.
We do not monitor the contents of your server and do not review what your agents do. We would not be able to catch a mistake before it happened even if we wanted to.
5. AI models: you bring your own
TermRoam does not sell, resell, meter, or mark up AI model usage. You connect your own Claude account for coding agents, and supply your own Anthropic and/or OpenAI API key for the server-side AI features.
This means:
- Your relationship for those services is directly with the AI provider. Their terms of service, acceptable use policies, pricing, rate limits, and content policies apply to you, and you are responsible for complying with them.
- You pay the AI provider directly. We never see that invoice.
- We do not control, cap, or throttle your model spend. An agent that loops, retries, or otherwise consumes a large amount of your credits or quota is your cost, not ours, and we are not liable for it. Set spend limits with your provider if that risk matters to you.
- If your provider suspends, rate-limits, deprecates, or changes the price of a model, TermRoam features that depend on it may stop working. That is outside our control and is not a breach of these Terms.
6. AI-generated output
Output produced by AI agents running on your server — code, commands, configuration, text, or anything else — is generated by third-party AI systems. It is not reviewed by us. It may be incorrect, insecure, non-functional, incomplete, or may infringe the rights of a third party.
You are solely responsible for reviewing, testing, and validating agent output before you rely on it, deploy it, publish it, or put it anywhere that failure would matter. We make no representation that agent output is accurate, secure, or fit for any purpose.
Ownership of AI output and whether it can be protected by copyright is unsettled and varies by jurisdiction. We make no claim to it and give you no assurance about it.
7. Licence to the TermRoam software
The TermRoam software is proprietary. It is licensed to you, not sold.
Subject to these Terms and to your subscription being in good standing, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to run the TermRoam runtime on servers we provision for you, for your own internal use, for the term of your subscription.
You may inspect the software as it exists on your server. We do not object to you reading it, and we do not obfuscate it.
You may not:
- copy, redistribute, publish, resell, sublicense, lease, or otherwise make the software available to any third party;
- modify, adapt, patch, or create derivative works of the licensed runtime;
- run the software on infrastructure other than servers we provision for you, except under a separate written agreement with us;
- remove or alter any proprietary notice; or
- use the software, or anything learned from inspecting it, to build or operate a competing product.
All rights not expressly granted are reserved. This licence ends when your subscription ends. Nothing in this section affects your ownership of your own code and data (section 8).
8. Your data and content
You own your code, files, projects, and data. We claim no ownership of them and no licence to them beyond what is technically necessary to operate and support the service at your request.
We do not copy your server's contents to our systems, mine them, index them for our own purposes, or use them to train any AI model. What we do hold about you is described in the Privacy Policy.
9. Backups
Keeping your own copies of anything you cannot afford to lose is your responsibility. You have full terminal access to your server through the TermRoam cockpit, so you can push to a git remote, rsync, scp, or otherwise copy data off at any time while the server is running. There is no one-click export button today.
If you purchase a backup add-on, backups are taken by our cloud provider at their schedule and retention, which we do not control and do not guarantee. A backup add-on is not a substitute for keeping your own copies.
10. Acceptable use
Your server runs on infrastructure held under our cloud account, on an IP address for which we are accountable. The following are prohibited.
Prohibited outright
- Cryptocurrency mining, or any workload whose primary purpose is consuming compute to generate tokens or coins.
- Sending unsolicited bulk email or messages, operating spam infrastructure, or running open relays.
- Port scanning, vulnerability scanning, penetration testing, credential stuffing, or any attack traffic aimed at systems you do not own or do not have written authorisation to test.
- Participating in denial-of-service attacks, operating botnet command-and-control, or hosting or distributing malware or phishing pages.
- Hosting or distributing unlawful content. Child sexual abuse material is reported to the authorities without notice to you and results in immediate termination.
- Hosting or distributing content that infringes another party's intellectual property.
- Reselling access to your server or its compute, or circumventing resource limits.
- Using the licensed runtime to build or operate a competing product.
Agent-specific
- You are responsible for the actions of any agent you run, to the same extent as your own actions.
- You must not configure an agent to carry out prohibited activity, and must not deliberately disable safety controls in order to do so.
- You must not point agents at third-party systems in ways that would violate those systems' terms of service or applicable law.
Enforcement
Where activity creates legal exposure, threatens our infrastructure or our IP reputation, or harms third parties, we may act immediately and without prior notice: we may suspend your access, disable your account, shut down your server, or destroy the server and the data on it. Where it is practical and lawful to do so, we will notify you first and give you a chance to fix the problem. Suspension or termination for a breach of this section does not entitle you to a refund.

11. Support, and access to your server
Our commitment is that we do not use your server as a matter of routine, and we never watch what you do on it.
- Default support path: we ask you to send a diagnostics bundle — health, versions, and redacted logs — which is pulled at your request. This is how the overwhelming majority of support is handled.
- Break-glass: hands-on access requires your explicit, time-boxed approval, and is recorded in an audit trail you can see. It expires.
- We do not operate a standing support login into customer servers, and we will not ask you to hand over your own credentials.
Disclosure about recovery keys. As the service is built today, an operator recovery key is installed on your server at provisioning time so that a broken server can be recovered. We do not use it for routine support, and use of it is subject to the approval and audit process above. We are working to remove standing key material from customer servers; until we have, we would rather tell you it is there than imply otherwise.
12. Fees, billing, and cancellation
Subscriptions are billed in advance and renew automatically until cancelled. The plan, price, and billing period are shown at checkout before you pay. Payments are processed by Stripe; we never receive or store your full card number.
You may cancel at any time from the portal. Cancellation takes effect at the end of the period you have already paid for — your server stays online until then. Data on the server is reclaimed and destroyed 30 days after service ends.
The complete terms, including the grace-period timetable, price changes, taxes, chargebacks, and our refund position, are in the Billing, Refund & Cancellation Policy, which forms part of these Terms.
13. Non-payment, suspension, and data destruction
If a payment fails, your account moves to past due. If it is not resolved, the account is suspended, and access to the cockpit is blocked while data on the server is preserved. If it is still not resolved, the server is destroyed and the account is deprovisioned. We email you before each of these transitions.
The exact grace windows are set out in the Billing, Refund & Cancellation Policy: 14 days in past due, then 30 days in suspended, unless we tell you otherwise in writing. It is your responsibility to export anything you need before that point.
Destruction is irreversible. There is no undo, no revival path, and no backup we can restore from unless you purchased a backup add-on.
14. Availability and changes to the service
We do not offer a service level agreement or an uptime guarantee. The service depends on a third-party cloud provider, and on AI providers we do not control.
We may add, change, or remove features. Where a change materially reduces the core functionality of a paid plan, we will give you reasonable notice by email, and you may cancel under the Billing, Refund & Cancellation Policy.
We may need to reboot, migrate, or perform maintenance on your server. We will avoid doing so without notice where we reasonably can.
15. Disclaimer of warranties
To the maximum extent permitted by law, the service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the service will be uninterrupted, secure, error-free, or that data will not be lost.
No advice or information, whether oral or written, obtained from us or through the service, creates any warranty not expressly stated in these Terms.
Some jurisdictions do not allow the exclusion of certain warranties, particularly for consumers. Where that is the case, this section applies to the maximum extent permitted, and your statutory rights are unaffected.
16. Limitation of liability
To the maximum extent permitted by law:
- Our total aggregate liability arising out of or relating to the service or these Terms is limited to the fees you actually paid us in the twelve months before the event giving rise to the claim.
- We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of data, loss of profits, loss of revenue, loss of business, or loss of goodwill, however caused.
- We are not liable for damage caused by actions taken by AI agents you run, by AI-generated output, by your own AI provider spend, or by your failure to keep your own copies of your data.
These limits apply even if a remedy fails of its essential purpose and even if we were advised of the possibility of the loss. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, or for death or personal injury caused by negligence.
17. Indemnity
You will defend, indemnify, and hold harmless Black Sky Ventures LLC and its officers, members, and personnel from and against any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of or relating to: your use of the service; your data and content; the actions of any AI agent you run; your breach of these Terms or of section 10 (Acceptable Use); or your violation of any law or of any third party's rights.
18. Termination
You may terminate at any time by cancelling your subscription and, if you wish, deleting your account.
We may suspend or terminate your access immediately for a breach of section 10, for non-payment under section 13, or where continuing to serve you would expose us to legal or security risk. We may terminate for convenience on 30 days' notice by email, in which case we will refund the unused portion of any period you have prepaid.
On termination: your licence under section 7 ends; your server is destroyed on the timetable in the Billing, Refund & Cancellation Policy; and sections 8, 15, 16, 17, 20, and any other section that by its nature should survive, survive.
19. Changes to these terms
We may update these Terms. If a change is material, we will notify you by email and in the portal at least 14 days before it takes effect. Continued use of the service after the effective date means you accept the updated Terms. If you do not accept them, cancel before the effective date.
We keep every published version and can produce the version you accepted.
20. Governing law and disputes
These Terms are governed by the laws of the State of Delaware and the applicable federal law of the United States, without regard to conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, and you and we consent to their personal jurisdiction and venue.
Nothing in this section deprives a consumer of the protection of mandatory provisions of the law of their country of residence.
